This Privacy Policy describes how Solius Labs, Inc. and our subsidiaries and affiliated companies (collectively, "Solius," "we," or "us") collect, use, disclose, and otherwise process information about you. This Privacy Policy applies to information we collect when you access or use our websites, mobile applications, devices, and other online products and services that link to this Privacy Policy (collectively, our "Services"), and when you otherwise interact with us, such as through our business locations or customer support channels, or on our social media pages. We may provide different or additional notices of our privacy practices with respect to certain products or services, in which case this Privacy Policy will not apply. In this Privacy Policy, "personal information" means information about an identifiable individual, or information that when combined with other, readily available information, may be used to identify an individual.

We may change this Privacy Policy from time to time. If we make changes, we will notify you by revising the date at the top of this policy. If we make material changes, we will provide you with additional notice (such as by adding a statement to the Services or sending you a notification). We encourage you to review this Privacy Policy regularly to stay informed about our information practices and the choices available to you.

Collection of Information

The information we collect about you depends on how you interact with us. In this section, we describe the categories of information we collect and the sources of this information.

Information You Provide to Us

We collect information you provide directly to us. For example, we collect information directly from you when you create an account, get a therapy, make a purchase, fill out a form (i.e., to sign up for a mailing list or download a white paper), communicate with us via third-party platforms, participate in a contest, sweepstakes, or promotion, sign up for rewards or marketing communications from us, request customer support, or otherwise communicate with us.

The types of information that we collect directly from you include:

  • Contact Information: your name, email address, postal address, phone number, and country.

  • Skin Information: information about your skin and skin type, including measurements collected via the Solius app's skin assessment feature (such as Individual Typology Angle (ITA) and Fitzpatrick skin type).

  • Any other information you choose to provide.

If you are the device owner for a household device, we also collect information from you relating to others whom you authorize to use your device. By adding other users to your device, you warrant that you have their permission and are authorized to share their information with us.

Payment Information: if you make a purchase from us, we work with a third-party payment processor to process your payment information.

Information We Collect Automatically

We automatically collect information about your interactions with us or our Services, including:

  • Therapy Information: We collect information about your therapy history, such as the date/time you received therapy, the dosage you received, and information about your skin type based on your reaction to the therapy.

  • Transactional Information: When you make a purchase or return, we collect information about the transaction, such as product details, purchase price, and the date and location of the transaction.

  • Device, Usage, and Activity Information: We collect information about how you access our Services, including data about the device and network you use, such as your hardware model, operating system version, mobile network, IP address, unique device identifiers, browser type, and app version. We also collect information about the route by which you access our Services, and your activity on our Services, such as access dates and times, pages viewed, links clicked, and items placed in your cart.

  • Audio Recordings and Chat Content: If you contact customer service through our chat feature or by phone, we may monitor and retain those conversations, including for training purposes.

  • Information Collected by Cookies and Similar Tracking Technologies: We use tracking technologies such as cookies, pixels, tags, and software development kits (SDKs) to collect information about your interactions with our Services and marketing communications. These technologies help us operate and improve our Services, personalize your experience, analyze usage and performance, and understand which areas and features of our Services are most popular and count visits. We may also use these technologies to measure the effectiveness of our marketing campaigns. For more information about cookies and how to disable them, see the Your Choices section below.

Information We Collect from Other Sources

We obtain information from other sources. For example, if you participate in a research study about Solius sponsored by a third party, we receive information about your participation in that study. If you are the user of a household device belonging to someone else, you provide us your information through the use of an authorized user account tied to the device owner's account, including your name and phone number. We may also receive your contact information from third parties relating to our marketing initiatives.

Additionally, if you create or log in to your Solius account through a third-party platform (such as Apple or Google), we will have access to certain information from that platform, such as your name, email, phone number, and any other information the third-party platform discloses about you, in accordance with the authorization procedures determined by such platform.

Information We Derive

We may derive information or draw inferences about you based on the information we collect. For example, we may make inferences about your approximate location based on your IP address.

Use of Information

We use the information we collect to provide therapies and maintain your account. We may also use the personal information we collect to:

  • Process and fulfill your orders and facilitate returns;

  • Provide, maintain, and improve the Services, including to debug and repair errors in our Services;

  • Develop new products and services;

  • Personalize your experience with us;

  • Send you technical notices, security alerts, support messages and other transactional or relationship messages;

  • Send you marketing communications (see the Your Choices section below for information about how to opt out of these communications at any time);

  • Provide and administer our loyalty program;

  • Monitor and analyze trends, usage, and activities in connection with our products and services;

  • Target advertisements to you on third-party platforms and websites (for more information, see the Advertising and Analytics section below);

  • Facilitate contests, sweepstakes, and promotions and process and deliver entries and rewards;

  • Detect, investigate, respond to, prosecute, and help protect against security incidents and other malicious, deceptive, fraudulent, or illegal activity and help protect the rights and property of Solius and others;

  • Comply with our legal and financial obligations;

  • Create de-identified and aggregated information that cannot reasonably be linked to you; and

  • Carry out any other purpose described to you at the time the information was collected.

Disclosure of Information

We disclose information about you as described in the Advertising and Analytics section below and in the following scenarios:

  • Vendors and Service Providers: We make personal information available to our vendors, service providers, contractors, and consultants who perform services on our behalf such as companies that assist us with web hosting, shipping and delivery, payment processing, financing, fraud prevention, customer service, analytics, and marketing and advertising.

  • Law Enforcement Authorities and Individuals Involved in Legal Proceedings: We disclose personal information in response to a request for information if we believe that disclosure is in accordance with, or required by, any applicable law, regulation, or legal process, including lawful requests by public authorities to meet national security or law enforcement requirements.

  • To Protect the Rights of Solius and Others: We may disclose personal information if we believe that your actions are inconsistent with our user agreements or policies, if we believe that you have violated the law, or if we believe it is necessary to protect the rights, property, and safety of Solius, our users, the public, or others.

  • Professional Advisors: We disclose personal information to our legal, financial, insurance, and other professional advisors where necessary to obtain advice or otherwise protect and manage our business interests.

  • Corporate Transactions: We disclose personal information in connection with, or during negotiations of, certain corporate transactions, including a merger, sale of Solius assets, financing, or acquisition of all or a portion of our business by another company.

  • Corporate Affiliates: Personal information is disclosed between and among Solius and our current and future parents, affiliates, subsidiaries, and other companies under common control and ownership.

  • We share personal information with your consent or at your direction. When you use a device owned by another user, we do not share information about your use of the Services or that particular device with the device owner.

  • We also disclose aggregated or de-identified information that cannot reasonably be used to identify you. We maintain and use this information only in a de-identified fashion and will not attempt to re-identify such information, except as permitted by law.

Advertising and Analytics

We engage others to provide analytics services, serve advertisements, and perform related services across the web and in mobile apps. To do this, Solius and these partners may use cookies, pixels, SDKs, and similar technologies to collect information about your use of our Services and other websites and mobile apps, including your device identifiers, IP address, web browser, mobile network information, pages viewed, time spent on pages or in mobile apps, links clicked, order information, items added to cart, and conversion information. This information is used to deliver advertising targeted to you on other companies' websites and mobile apps, understand the effectiveness of this advertising, analyze and track data, determine the popularity of certain content, and better understand your activity.

In addition to ad targeting activities that rely on cookies and similar technologies, we work with advertising partners to translate other identifiers, such as your email address or phone number, into a unique identifier (called a hashed value) that such partners can then use to show ads that promote Solius that are more relevant to you across the web and in mobile apps.

For more information about interest-based ads, or to opt out of having your web browsing information used for behavioral advertising purposes by companies that participate in the Digital Advertising Alliance, please visit www.aboutads.info/choices. Your Choices

Account Information

You may update certain account information at any time by logging in to your account or contacting us. If you wish to deactivate your account, please contact us, but note that we may retain certain information as required by law or for our legitimate business purposes.

Cookies and Similar Tracking Technologies

Solius uses cookies and similar tracking technologies as described above. You can usually adjust your browser settings to remove or reject browser cookies. Please note that removing or rejecting cookies could affect the availability and functionality of our Services.

Communications Preferences

You may opt out of receiving promotional emails or text messages from Solius by following the instructions in those communications or by contacting us. If you opt out, we may still send you non-promotional communications, such as those about your account or orders.

Mobile Push Notifications

With your permission, we may send push notifications to your mobile device. You can deactivate these messages at any time by changing the notification settings on your mobile device.

Transfer of Information to the United States and Other Countries

Solius is headquartered in the United States and we and our service providers process and store personal information in the United States and other countries. Therefore, we and those that perform work for us may transfer your personal information to, or store or access it in, jurisdictions that may not provide levels of data protection that are equivalent to those of your home jurisdiction. Where required by law, we provide adequate protection for the transfer of personal information in accordance with applicable law, such as by entering into appropriate contracts with our vendors.

U.S. State Privacy Rights

Depending on the state in which you reside, you may have certain rights with respect to your personal information. This section describes those rights and how to exercise them.

Washington State Residents

Washington's My Health My Data Act provides additional protections for certain information that might be deemed consumer health data (“CHD”) under the law, which may include the skin data and therapy history that Solius collects as described above. 

Sources of Consumer Health Data

To the extent any of the information we collect constitutes CHD, we collect personal data (which may include CHD as described above) directly from you, from your interactions with our sites and applications and products and services.

Why We Collect and Use Consumer Health Data

To the extent we collect and use CHD, we do so for the purposes described in the "Use of Information" section of this Privacy Policy. More specifically, we collect and use information that could be considered CHD:

·         As reasonably necessary to provide you with the products or services you have requested or authorized. This may include delivering and operating the products and services and their features, responding to your communications, personalization of certain product or service features, ensuring the secure and reliable operation of the products and the systems that support them, troubleshooting and improving the products, and other essential business operations that support the provision of the products or services (such as analyzing our performance, meeting our legal obligations, developing our workforce, and conducting research and development).

·         For any purpose for which you consent or direct us to collect or use it.

We may use CHD for other purposes for which we will give you choices and/or obtain your consent as required by law.

Our Disclosure of Consumer Health Data

We may disclose each of the categories of data that could be considered CHD described above for the purposes described below: 

·         To the extent necessary to provide a product or service that you have requested or as reasonably necessary to complete any transaction or provide any product or service you have requested or authorized, as described above.

·         If we are involved in a merger, asset sale, financing, corporate divesture, reorganization, or acquisition of all or some portion of our business to another company or if we undergo liquidation or bankruptcy proceedings, we may disclose your information in connection with such transaction or proceeding before and or after the transaction closes or the proceedings are completed.

·           For any purpose for which you consent or direct us to disclose it.

Third Parties To Whom We Disclose Consumer Health Data

As necessary for the purposes described above to provide the products and services that you request from us, we disclose information that could be considered CHD with the following categories of third parties:

·         Service providers. Vendors, service providers, or contractors (“processors”) that provide services on our behalf may access information that might be considered CHD for the purposes described above. For example, companies that provide customer service support, technical services, or assist in protecting and securing our systems and services may need access to data to provide those functions on our behalf.

·         Parties to a corporate transaction. We may disclose information that might be considered CHD as part of a corporate transaction or proceeding such as a merger, financing, acquisition, bankruptcy, dissolution, or a transfer, divestiture, or sale of all or a portion of our business or assets.

·         With third parties for legal or security reasons. As described in our Privacy Policy, we disclose data to third parties (including law enforcement or other government agencies) when we believe doing so is necessary to comply with applicable law or respond to valid legal process.

·         Other third parties. In certain circumstances, it may be necessary to provide data to other third parties, for example, to comply with the law or to protect our rights or those of our customers.

How to Exercise Your MHMDA Rights 

Washington residents from whom we have collected CHD have the following rights:

  • Right to Access: You may request access to the consumer health data we have collected about you.

  • Right to Delete: You may request deletion of consumer health data we hold about you.

  • Right to Withdraw Consent: You may withdraw your consent to our collection of your consumer health data.

Children's Privacy

Our Products and Services are intended for individuals who are 22 years of age or older, consistent with FDA clearance requirements. We do not knowingly collect personal information from individuals under the age of 22. If we become aware that we have collected personal information from an individual under the age of 22, we will take steps to delete that information promptly.

Canadian Residents

If you are a Canadian resident, this section applies to you.

Consent: By submitting personal information to Solius, our service providers, or our agents, you consent to the collection, use, disclosure, and transfer of your personal information in accordance with this Privacy Policy and as permitted or required by law. You may withdraw your consent at any time to the collection, use, disclosure, or transfer of your personal information by contacting Solius at hello@solius.com. If you withdraw your consent (or if you decide not to provide certain personal information), you acknowledge that Solius may not be able to provide you, or continue to provide you, with certain products, services, or information that may be of value to you.

Data Retention: We store personal information associated with your account for as long as your account remains active. We store other personal information for as long as necessary to carry out the purposes for which we originally collected it and for other business purposes explained in this Privacy Policy.

Access and Correction: You have the right to (1) request to know more about and access your personal information and (2) request correction of inaccurate personal information. To request access or correction of your personal information, please send an email to Solius at hello@solius.com. Once we receive the request, we will verify your request by asking you to provide information related to your recent interactions with us.

Canada's Anti-Spam Law ("CASL"): We will only send you commercial electronic messages ("CEMs") where we have your express or implied consent to do so. Your consent to receive CEMs is implied where we have an existing business relationship with you, or you have reached out to us and made an inquiry within a certain time frame. You may unsubscribe from receiving CEMs at any time, by clicking the unsubscribe link on an email or following the direction provided in a text message. If you opt out, we may still send you non-promotional messages, such as those about your account or our ongoing business relations.

Transfers out of Canada/Quebec: Your personal information may be stored, accessed, used, and otherwise processed inside and outside of Quebec and/or Canada. When personal information is located outside Quebec and/or Canada, it may be subject to laws that have different standards of protection and may allow for foreign law enforcement and governmental access.

Automated Decisions and Residents of Quebec: If you are a resident of Quebec, we will inform you if we exclusively use automated processing to render a decision about you. You may also request information about the personal information used to make that decision, and request that the information be corrected.
